Acceptance
These Terms of Service ("Terms") govern your use of the KeynetikPOS mobile application ("the App"). By tapping "I Agree", you enter into a binding agreement with Keynetik Systems. If you do not agree, do not use the App.
Eligibility
You must be at least 18 years old and have the authority to bind the business you represent to use the App. If you are using the App on behalf of a business, "you" includes that business, and you confirm you are authorised to accept these Terms on its behalf.
What the App Is
KeynetikPOS is point-of-sale software: it helps you record inventory, ring up sales, and keep sales history and reports for your own retail business. Depending on which mode you choose, it either runs entirely on your own device ("Standalone" mode) or as a companion that relays actions to a separate till you already operate ("Companion" mode). We grant you a limited, non-exclusive, non-transferable, revocable licence to use the App for your own business. You may not resell, sublicense, or redistribute the App.
Accounts
Some features (currently: connecting a payment provider for Mobile Money payments) require creating an account with us. You agree to provide accurate information and to keep your login credentials confidential. You are responsible for all activity under your account. Tell us immediately if you suspect unauthorised access.
Payments — What We Do and Do Not Do
Keynetik Systems is not a payment processor, is not a party to any transaction between you and your customers, and does not hold, control, or have access to your funds at any point.
Cash: the App only records the amount and method of a cash sale for your own bookkeeping. We have no role in, and no responsibility for, the physical handling of cash.
Electronic payments (Mobile Money, cards): if you choose to accept these, they are processed entirely by Paystack, under a separate agreement you enter into directly with Paystack — not with us. Settlement of funds to your bank or Mobile Money account, dispute and chargeback handling, and compliance with Paystack's own terms are entirely between you and Paystack. We relay the requests you make and display the status Paystack reports back; we do not guarantee that any payment will succeed, settle on any particular schedule, or be free of error, delay, or loss caused by Paystack, Safaricom, a card network, or any other third party outside our control.
Your Responsibilities
You are solely responsible for: the accuracy of your inventory, pricing, and sales records; your relationship with your customers, including delivery, refunds, and any receipts or disclosures you owe them; complying with all laws that apply to your business, including tax, consumer protection, and data protection law; and your own compliance with any agreement you enter into with Paystack, Google, or any other third party you connect to the App.
Fees
The App is free to use, with an optional paid tier that removes ads and unlocks additional features. Paid tier purchases are billed and processed by Google Play under Google's own terms; refunds for those purchases are handled by Google, not by us.
Third-Party Services
The App may connect to services we do not operate, including Paystack and Google Play. Your use of those services is governed by their own terms, not these Terms. We do not endorse, control, or accept responsibility for those services, and a problem with a third-party service is not a problem we are responsible for fixing or compensating you for.
Disclaimer of Warranties
The App is provided "as is" and "as available," without warranties of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement, except to the extent such a disclaimer is not permitted by law. We do not warrant that the App will be uninterrupted, error-free, or free of loss, corruption, or unauthorised access to your data.
Limitation of Liability
To the maximum extent permitted by law: neither Keynetik Systems nor its owners or operators will be liable for any indirect, incidental, special, consequential, or exemplary damages, including lost profits or lost data, arising from your use of the App. Our total liability to you for any claim arising from these Terms or your use of the App is limited to the greater of (a) the amount you paid us in the twelve (12) months before the claim arose, or (b) KES 5,000.
Nothing in this section limits liability that cannot be limited under applicable law.
Indemnification
You agree to defend and hold Keynetik Systems harmless from any claim, loss, or expense (including reasonable legal fees) arising from: your use of the App; your relationship with your customers; your breach of these Terms; or your breach of any agreement with Paystack, Google, or another third party you connect to the App.
Data and Privacy
How we collect, store, and use information is described in our Privacy Policy. In short: your inventory, sales, staff, and customer records stay on your own device unless you explicitly connect a cloud feature (currently, only Mobile Money payments); connecting that feature means your account email and payment status records are stored with our backend provider, and your payment provider's secret key is stored there encrypted and is never visible to us or to your device after you enter it once.
Termination
You may stop using the App at any time. We may suspend or terminate your access to cloud-connected features if you breach these Terms, or if we are required to by law or by a third-party provider we rely on. Data stored only on your device remains yours and is not affected by termination of any cloud account.
Changes to These Terms
We may update these Terms from time to time. If we make a material change, we will ask you to accept the updated Terms before you can continue using the App. Continuing to use the App after accepting an update means you agree to it.
Governing Law
These Terms are governed by the laws of the Republic of Kenya. Any dispute arising from these Terms or your use of the App will be subject to the exclusive jurisdiction of the courts of Kenya, unless mandatory law gives you a right to bring a claim elsewhere.
